TERMS AND CONDITIONS

1. Definitions and Interpretation

Throughout this document, the following terms shall have the meanings assigned to them:

  • "Willtaker Logistics", "We", "Us", "Our": Refers to Willtaker Shipping and Logistics LTD, a company incorporated and registered in Zambia. This includes our successors, assigns, employees, and agents.
  • "Customer", "You", "Your": Refers to the company, organization, or individual person that registers with Willtaker Logistics to use our Services.
  • "Service" or "Services": Refers to the shipping, logistics, freight forwarding, warehousing, and any other ancillary services provided by Willtaker Logistics as described in our service brochure or as agreed upon in writing.
  • "Package" or "Shipment": Refers to any item, parcel, or cargo entrusted to Willtaker Logistics by the Customer for the purpose of receiving our Services.
  • "Invoice": Refers to the document issued by Willtaker Logistics detailing the charges applicable to the Services provided.

2. General Provisions

  • 2.1. Company Status: Willtaker Shipping and Logistics LTD is a duly incorporated and registered entity in Zambia. All copyrights, trademarks, and intellectual property associated with our brand and operations are reserved.
  • 2.2. Right to Refuse Service: Willtaker Logistics reserves the right to refuse service or provide a quotation to any person or entity for any lawful reason, including but not limited to previous breaches of these terms or the nature of the goods to be shipped.
  • 2.3. Modification of Terms: We reserve the right to update, amend, or modify these Terms and Conditions at any time without prior notice. It is your responsibility to review the current terms regularly. Continued use of our Services constitutes acceptance of the revised terms.
  • 2.4. Pricing Estimates: All shipping rates provided are estimates supplied by our third-party shipping partners. The final shipping rate is subject to change based on actual dimensions, weight, destination, and fuel surcharges. Shipping pricing is calculated on the greater of volumetric weight or actual weight.
  • 2.5. Re-weighing and Inspection: All shipments are subject to re-weighing, measurement, and inspection by Willtaker Logistics or its partners to ensure accuracy of charges and compliance with regulations.
  • 2.6. Payment Before Release: Willtaker Logistics reserves the right to hold any item or shipment until full payment of all applicable charges, including shipping, duties, taxes, and storage fees, has been received and cleared.
  • 2.7. Currency and Payment Methods:
    • Payments via debit/credit card, where available, are processed using the current Zambia Kwacha exchange rate against the US Dollar as determined by our financial partners on the day of the transaction.
    • Available payment methods may vary depending on your location and are subject to change.
  • 2.8. Late Payment: If any invoiced amount is not received by the specified due date, and no prior written communication via email has been received from the Customer excusing the delay, Willtaker Logistics reserves the right to immediately halt, suspend, or terminate the provision of all services related to the outstanding invoice. Services will only be resumed once full payment is received.
  • 2.9. Account Suspension and Termination: Willtaker Logistics reserves the right to terminate or suspend any customer account immediately if we observe a breach of these Terms and Conditions, or any abuse or misuse of the Service. We shall not be held responsible for any losses, costs, or expenses arising from such termination or suspension.
  • 2.10. Limitation of Liability: To the fullest extent permitted by law, Willtaker Logistics shall not be held liable for any direct, indirect, incidental, special, or consequential damages resulting from the Customer's use of our services and solutions, unless such damages result from our gross negligence, willful misconduct, or knowing violation of the law.

3. Customer Obligations and Responsibilities

By registering with and using Willtaker Logistics, you confirm that:

  • 3.1. You are at least 18 years old and have the legal capacity to enter into a binding contract.
  • 3.2. You have provided accurate, current, and complete information during registration, including your legal name, whether personal or business, physical address, valid payment details, and any other required information.
  • 3.3. You agree to pay all applicable service charges as specified on your Invoice, including but not limited to:
    • Shipping and handling charges.
    • Duties, taxes, and prevailing VAT.
    • Storage charges, as outlined in Section 4.
    • Any other additional charges incurred to make the goods available for collection or delivery, such as customs clearance fees or demurrage.
  • 3.4. Customs and Regulatory Compliance: You are the importer of record and are solely responsible for:
    • Paying all duties, taxes, and levies imposed by any local or government authority in Zambia or any transit country.
    • Ensuring your shipment complies with all applicable import and export laws and regulations.
    • Providing accurate and complete documentation required for customs clearance.
  • 3.5. Inspection on Delivery: You are responsible for inspecting your package(s) immediately upon collection or delivery to ensure they are in good condition. Once a delivery notice has been generated and the package is collected, Willtaker Logistics shall not be held responsible for any subsequent claims of damage or loss, unless insurance was purchased as per Section 5.
  • 3.6. Commitment to Purchase: Generation of an Invoice based on an accepted quotation constitutes a binding agreement. Failure to proceed or cancellation of the service will attract a 4% administration penalty fee, which will be deducted from any future payments or invoiced separately.
  • 3.7. Acknowledgment: By registering for and using our Services, you explicitly acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions. You cannot at any time claim ignorance of these terms as a defense for non-compliance.

4. Storage, Package Handling, and Disposal Policy

  • 4.1. Free Storage Period: Packages arriving at our facility are entitled to seven (7) calendar days of free storage from the date of the arrival notification sent to you.
  • 4.2. Extra Storage Fees: For any package remaining uncollected beyond the initial 7-day free period, an extra storage fee of ZMW 50 per day, per package will be charged. This fee must be settled before the package is released for collection or delivery.
  • 4.3. Repacking and Consolidation Requests:
    • If you require your packages to be repacked or consolidated to save on shipping costs, you must inform us as soon as possible and before the packages are shipped out.
    • Willtaker Logistics does not render repacking or consolidation services after the packages have been shipped from our facility or have left our custody.
  • 4.4. Long-Term Storage and Disposal:
    • Packages that remain uncollected for ninety (90) calendar days from the date the arrival confirmation receipt email was sent will be considered abandoned.
    • Willtaker Logistics reserves the right to permanently remove, dispose of, donate, or sell abandoned packages without any further notice to the Customer and without any liability.
    • No refunds or compensation will be provided for disposed items. Any proceeds from the sale of abandoned goods will be retained by Willtaker Logistics to offset storage and administrative costs.

5. Insurance and Claims

  • 5.1. Optional Insurance: Insurance is not included in our standard shipping rates. If you wish to insure your shipment, you must request this service and pay the applicable premium before the item is shipped.
  • 5.2. Claim Process: For any clarity on insurance coverage, limits, and the claims process, please contact our customer support team at support@willtaker-logistics.com. Proof of value may be required to process a claim.
  • 5.3. Uninsured Shipments: For uninsured shipments, our liability is limited to the proven value of the goods, subject to a maximum cap as defined by applicable law or as agreed in writing, and excluding consequential losses.

6. Service Commitment and Delays

  • 6.1. Estimated Timelines: Any delivery timelines provided are estimates only and are not guaranteed. You acknowledge that transit times can be longer than anticipated due to unforeseen circumstances, including but not limited to:
    • Weather conditions.
    • Customs delays and inspections.
    • Political instability or conflicts.
    • Operational issues with shipping partners.
    • Public holidays.
  • 6.2. Force Majeure: Willtaker Logistics shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, government actions, or global pandemics.
